{"id":8470,"date":"2023-12-27T17:49:58","date_gmt":"2023-12-27T15:49:58","guid":{"rendered":"https:\/\/ir.epsilonnet.gr\/2023\/12\/announcement-of-the-completion-of-the-acquisition-of-the-retail-fuel-division-by-epsilon-singularlogic\/"},"modified":"2023-12-27T17:49:58","modified_gmt":"2023-12-27T15:49:58","slug":"announcement-of-the-completion-of-the-acquisition-of-the-retail-fuel-division-by-epsilon-singularlogic","status":"publish","type":"post","link":"https:\/\/ir.epsilonnet.gr\/en\/2023\/12\/announcement-of-the-completion-of-the-acquisition-of-the-retail-fuel-division-by-epsilon-singularlogic\/","title":{"rendered":"Announcement of the Completion of the Acquisition of the Retail Fuel Division by Epsilon SingularLogic"},"content":{"rendered":"<p>&nbsp;<\/p>\n<p><strong>EPSILON NET Group<\/strong> announces that its subsidiary <strong>Epsilon SingularLogic S.A.<\/strong> has completed the acquisition from SingularLogic, a subsidiary of SPACE HELLAS Group, of the entire activity of <strong>Retail &amp; Fuel<\/strong> integration, sales &amp; customer support software division which is addressed to the retail sector enterprises and gas stations businesses.<\/p>\n<p>&nbsp;<\/p>\n<p>Specifically, on <strong>22.12.2023<\/strong> the decision of the Greek General Commercial Register (G.E.M.I.) under number 1007\/22.12.2023 was registered in the General Commercial Register (G.E.M.I.) under Registration Code <strong>3949731<\/strong> of the Chamber of Commerce of Thessaloniki (AD: 6\u03a1\u03a1\u03a3469\u0397\u03a1\u03a5-\u0392\u0398\u03a4\u03a3), which approved the division by spin-off of the sector of providing services and sales of integrated systems to retail and fuel businesses (hereinafter &#8220;<strong>Retail &amp; Fuel Sector<\/strong>&#8220;) of &#8220;SINGULARLOGIC S.A.&#8221;, a subsidiary of &#8220;SPACE HELLAS&#8221;, and its contribution to &#8220;EPSILON SINGULARLOGIC S.A.&#8221; with number GE.MI. 157876205000, a subsidiary of the company &#8220;EPSILON NET S.A.&#8221;, against the issue of new shares of &#8220;EPSILON SINGULARLOGIC S.A.&#8221; to &#8220;SINGULARLOGIC S.A.&#8221;, in accordance with the applicable provisions of Law 4601\/2019 and Law 4172\/2013.<\/p>\n<p>&nbsp;<\/p>\n<p>Specifically, on 22.12.2023, the spin-off of the services and sales of integrated systems to retail and fuel companies (hereinafter referred to as the &#8220;R&amp;F Division&#8221;) of &#8220;SINGULARLOGIC&#8221; was approved and registered according to the provisions of L. 4601\/2019 &amp;. 4172\/2013.<\/p>\n<p>Following the approval of the spin-off of the Retail &amp; Fuel sector, the following results were achieved:<\/p>\n<ul>\n<li><strong>spin-off of the Retail &amp; Fuel division <\/strong>of SingularLogic S.A. with a spin-off balance sheet date of 31.10.2023 and <strong>its contribution<\/strong> to the beneficiary Epsilon SingularLogic S.A. which is substituted as universal successor to the entire transferred property, as reflected in the balance sheet of the Retail &amp; Fuel Division (as at 31.10.2023) and formed until the date of completion of the spin-off<\/li>\n<li><strong>capital increase<\/strong> in Epsilon SingularLogic S.A. through the issue of new shares <strong>for the benefit<\/strong> of SingularLogic S.A., the Retail &amp; Fuel contributing company<\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p>Finally, at the same date 22.12.2023<strong>, the transfer of the shares<\/strong> of Epsilon SingularLogic S.A. from SingularLogic S.A. to <strong>EPSILON NET S.A.<\/strong> \u00a0was completed for the agreed amount of <strong>\u20ac3,000,000<\/strong> which has been paid in full.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>&nbsp; EPSILON NET Group announces that its subsidiary Epsilon SingularLogic S.A. has completed the acquisition from SingularLogic, a subsidiary of SPACE HELLAS Group, of the entire activity of Retail &amp; Fuel integration, sales &amp; customer support software division which is addressed to the retail sector enterprises and gas stations businesses. &nbsp; Specifically, on 22.12.2023 the [&hellip;]<\/p>\n","protected":false},"author":3,"featured_media":0,"comment_status":"closed","ping_status":"closed","sticky":false,"template":"","format":"standard","meta":{"inline_featured_image":false,"footnotes":""},"categories":[14],"tags":[],"class_list":["post-8470","post","type-post","status-publish","format-standard","hentry","category-athex-announcements"],"yoast_head":"<!-- This site is optimized with the Yoast SEO plugin v26.7 -
